1. Acceptance of Terms
By engaging Ghio Consulting LLC ("Ghio Consulting", "we", "us") or by using this website, you agree to these Terms of Service. If you do not agree, please do not use our services.
2. Description of Services
Ghio Consulting provides professional consulting and business support services to independent digital entrepreneurs, including strategic consulting, brand development, operations management, and growth infrastructure.
3. Client Obligations
Clients agree to:
- Provide accurate and complete information;
- Cooperate in good faith throughout the engagement;
- Make payments in accordance with the agreed schedule;
- Respect the confidentiality of methodologies and materials provided.
4. Payment Terms
Invoices are due within 14 days of issue unless otherwise agreed in writing. Accepted payment methods include credit card, bank transfer, and third-party payment processors such as Stripe, PayPal, and SumUp. Late payments may incur reasonable interest as permitted by applicable law.
5. Service Delivery
The specific scope, deliverables, timeline, and fees are defined in an individual engagement agreement executed between Ghio Consulting and each client.
6. Intellectual Property
Deliverables produced specifically for the client under an engagement become the property of the client upon full payment of related fees. Methodologies, frameworks, templates, and pre-existing materials remain the exclusive property of Ghio Consulting.
7. Confidentiality
All engagements are subject to mutual confidentiality. Information shared by either party in the context of an engagement is treated as confidential and will not be disclosed to third parties without prior written consent, save where required by law.
8. Limitation of Liability
To the maximum extent permitted by law, the total liability of Ghio Consulting arising out of any engagement is capped at the amount of fees actually paid by the client to Ghio Consulting during the twelve (12) months preceding the event giving rise to the claim. Ghio Consulting is not liable for indirect or consequential damages.
9. Termination
Either party may terminate an ongoing engagement upon thirty (30) days written notice. Either party may terminate immediately in the event of material breach that is not cured within a reasonable period after written notice.
10. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States.
11. Dispute Resolution
The parties will first attempt to resolve any dispute through good-faith mediation. If unresolved, disputes will be settled by binding arbitration seated in Wyoming, United States.
12. Amendments
Ghio Consulting may update these Terms from time to time. The current version is available on this page.
